These Terms of Service define the business relationship between SealSync AI (the "Company") and you (the "Client"). By engaging our services, you agree to these terms.
Scope of Services
SealSync AI provides AI-first product development structured into specific stages to match your company's growth:
- Proof of Concept (POC) / Pitch Demo: A working demo of core user flows for fundraising and investor meetings.
- Minimum Viable Product (MVP): An end-to-end product for pilot testing and validating product-market fit.
- Version 1 (V1): A production-ready product with enterprise-grade security and scalable infrastructure.
Payment Model (Deferred Payments)
To preserve your runway, we offer a unique collaborative payment structure:
- Structure: We typically defer 50–80% of build costs.
- Milestones: The remainder of the payment is tied to business milestones.
Client Responsibilities
- Content: The Client is responsible for providing all site content (text and multimedia) prior to the commencement of work.
- Backups: The Client is solely responsible for maintaining backups of their data. SealSync AI is not responsible for any data loss or damage during the project.
- Permissions: The Client must obtain all necessary rights for third-party copyrighted materials and agrees to indemnify SealSync AI against any claims resulting from negligence in this area.
Review, Approvals, and Timeline
- 7-Day Review Rule: The Client has 7 days to provide feedback on shared work. If no response is received, the work is deemed automatically accepted and approved.
- Stage-Gated Progress: Work on the next stage begins only after receiving sign-off and relevant payments for the previous stage.
- Timescale: We aim to complete services within the agreed timeframe but may extend it due to external factors like 3rd-party support or development bottlenecks.
Property & Confidentiality
- NDA by Default: All engagements are covered by an NDA to protect sensitive project details.
- Code Ownership: Code ownership transfers to the Client only after final payments are settled.
- Marketing Rights: Unlike standard practices, we will not use your project for references or marketing without your prior and proper approval.
Support and Third-Party Services
- Post-Launch Support: We provide free bug fixing and email support for the first month after launch. Subsequent support is available via separate packages.
- 3rd-Party Limitations: We make no guarantees for the performance of third-party products (e.g., AWS, GCP, Azure APIs) and are not liable for their failure.
Limitation of Liability
SealSync AI excludes liability for loss or damage caused by inaccuracies, delays, or errors in production, except in cases of gross negligence. We are not liable for direct, indirect, or consequential damages, including loss of profit or third-party claims.
Jurisdiction
These terms shall be governed by and interpreted in accordance with the laws of the jurisdiction where SealSync AI is registered.
